Terms & Conditions
1. Agreement to terms
These Terms and Conditions are a legally binding agreement between you (personally or on behalf of an entity) and Colorado SEM, Inc., doing business as Denver PPC, located at 800 Englewood Pkwy b207, Englewood, CO 80110, United States, concerning your access to and use of the Denver PPC website and related applications (the “Site”) and our digital marketing services (the “Services”). By accessing the Site or Services, you agree to these Terms. If you do not agree, discontinue use immediately. We may update these Terms at any time; the updated version is effective when posted, and continued use means you accept the changes. The Site is directed to users in the United States and intended for users at least 18 years old.
2. Acceptable use
You may use the Site only for its intended purpose. You agree not to: systematically retrieve data to build a database without permission; make unauthorized use of the Site; circumvent or interfere with security features; use automated tools (scripts, robots, scrapers) to access the Site; upload viruses or malicious code; impersonate others; harass or harm any person; infringe our intellectual-property rights; or use the Site to compete with us. We may investigate and take appropriate legal action against anyone who violates these Terms.
3. Our content & intellectual property
Unless otherwise indicated, the Site and its content — including source code, software, designs, text, graphics, photographs, and logos (“Our Content”) — are owned by or licensed to us and protected by U.S. copyright and trademark laws. You are granted a limited, personal, non-commercial license to access and use the Site. No part may be copied, reproduced, republished, or exploited for commercial purposes without our prior written permission. Content is provided for general information only and is not professional advice you should rely on.
4. Site management
We may, at our discretion, monitor the Site for violations, take legal action against violators, remove or disable content, and otherwise manage the Site to protect our rights and its proper functioning. We do not guarantee the Site will be secure or free from bugs or viruses, and you should use your own virus protection.
5. Modifications & availability
We may change, modify, or remove the Site’s contents at any time, and modify or discontinue the Services, without notice. We cannot guarantee the Site will always be available and are not liable for any downtime. We may correct errors, inaccuracies, or omissions at any time.
6. Disclaimer & limitation of liability
The Site and Services are provided on an “as-is” and “as-available” basis, and your use is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site or Services will not exceed the greater of (a) $1,000 USD or (b) the amount you paid us for the Services during the six (6) months before the claim arose. We are not liable for any indirect, incidental, or consequential damages, or for lost profits, revenue, data, business, or goodwill.
7. Term & termination
These Terms remain in effect while you use the Site or Services. You may stop using them at any time by contacting info@denver-ppc.com. We may deny access to the Site and Services to anyone, for any reason, at our discretion — including for any breach of these Terms or applicable law.
8. Governing law & general terms
These Terms are governed by the laws of the State of Colorado, U.S.A., without regard to conflict-of-law principles, and you agree to the exclusive jurisdiction of the state and federal courts located in Colorado. Visiting the Site, emailing us, and completing forms constitute electronic communications, and you consent to receive communications electronically. These Terms are the entire agreement between you and us; our failure to enforce any provision is not a waiver; and if any provision is found unlawful, the remaining provisions stay in effect. No joint venture, partnership, employment, or agency relationship is created by these Terms.
